Pitchsyde Ltd Shop Vendor/Merchant Terms of Service (Ghana)

Effective date: 6 October 2025

1. Scope

These Terms apply when you (“Vendor/Merchant”, “you”) create and operate your own online store using Pitchsyde's Shop software (the “Service”). Pitchsyde is not a marketplace; you run a standalone storefront under your brand. By Signing up, you accept these Terms and referenced policies.

2. Pitchsyde’s Role

  • Pitchsyde provides ecommerce software, checkout through integrated processors, and order-tracking tools. We do not buy or sell on your behalf, take ownership of goods, or act as your agent.
  • You are the merchant of record. You set prices, list products, fulfill orders, and handle customer support, cancellations, returns, and refunds.
  • Unless expressly agreed, Pitchsyde does not market or advertise your products.

3. Account, Eligibility & Compliance

Business accuracyProvide true business details (legal name, address, contact). Keep them updated.
Regulatory complianceObtain and maintain all permits/licences applicable to your goods and operations (e.g., FDA/FDB approvals where needed), and comply with consumer protection laws.
Data protectionHandle customer data per Ghana’s Data Protection Act, 2012 (Act 843) and register with the Data Protection Commission if required. Use customer data only for order processing and lawful communications.
Content & product standardsListings must be truthful, include material facts (variants, sizes, materials), and clear pricing. Prohibited items include illegal goods, counterfeit items, weapons, obscene or pornographic materials, and items requiring licences you do not hold.

4. Payments, Payouts & Fees

  • Processor. Payments are routed through integrated processors such as Paystack. You also agree to Paystack’s terms.
  • Payouts. Net proceeds are settled to your designated account based on the processor’s settlement timelines. You authorize deductions for processor fees and any agreed Pitchsyde fees (if any).
  • Pricing & transparency. You set prices. Where required, display taxes, delivery fees, and surcharges clearly.
  • Taxes. You are responsible for assessing, collecting, and remitting all applicable taxes (e.g., VAT), filing returns, and issuing receipts/invoices where required.
  • Chargebacks & disputes. As merchant of record, you bear the risk and costs of chargebacks, fraud, and related disputes unless caused by the Service’s proven technical fault.

5. Orders, Fulfilment & Delivery

  • You must timely confirm, pack, and dispatch orders and provide accurate status updates. If you offer pickup, specify pickup windows and ID requirements.
  • You are responsible for inventory accuracy. Keep stock levels and variant data (size, colour, model) current to avoid overselling.
  • You are responsible for safe and compliant shipping/delivery. Risk of loss transfers per your stated policy or applicable law.
  • If an order is cancelled or cannot be fulfilled, you must notify the customer and process any due refund promptly.

6. Cancellations, Returns & Refunds

You must publish a clear policy covering cancellation windows, return conditions, and refund timelines. You are solely responsible for administering refunds in line with your policy and applicable law. If a payment processor reverses a transaction or issues a chargeback, you remain liable for resulting deficits and fees.

7. Intellectual Property

You warrant that your brand, product images, descriptions, and other materials do not infringe third-party rights. You grant Pitchsyde a non-exclusive licence to display your marks and content within the Service for operating your storefront.

8. Prohibited Conduct

  • Listing illegal/counterfeit goods or misrepresenting products.
  • Attempting to bypass integrated checkout to avoid fees/fraud checks.
  • Abusing promotions, coupons, or referral systems.
  • Interfering with the Service, scraping, or security testing without consent.

9. Suspension & Termination

Pitchsyde may suspend or restrict your storefront, or remove listings, where we reasonably believe there is fraud, legal non-compliance, safety risk, repeated customer harm, or breach of these Terms. We may preserve evidence for regulators or payment partners when required.

10. Indemnity & Liability

You agree to indemnify Pitchsyde (including officers, directors, employees, and agents) from claims, losses, and expenses arising from your listings, products, fulfilment, customer interactions, tax obligations, or policy breaches.

To the maximum extent permitted by law, Pitchsyde excludes liability for indirect or consequential damages, lost profits, or reputational harm. Our aggregate liability is limited to the fees (if any) you paid to Pitchsyde for the Service in the 3 months preceding the event giving rise to the claim.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana. Disputes not resolved amicably within 30 days shall be submitted to the exclusive jurisdiction of the High Court of Ghana, Accra.

12. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes will be communicated via your dashboard or email and become effective on notice, unless a later effective date is stated. Continued use after effectiveness constitutes acceptance.
